Terms of Service

1. Agreement
These Terms of Service (“Terms”) are an agreement between you and Skoot (Ireland) (“we”, “us”) for use of the Skoot website and service (the “Service”).
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of a company, you confirm you have authority to bind that company, and “you” includes that company.
2. The Service
Skoot is a B2B tool that helps you research signals, identify potential leads and contacts from public sources, and draft outreach. Features may change as we improve the product. Outputs are generated with automated systems and may be incomplete or incorrect — you must review them before use.
Unless we expressly agree otherwise in writing, the Service does not include sending emails or messages on your behalf.
3. Accounts
- You must provide accurate account information and keep it current.
- You are responsible for safeguarding credentials and for activity under your account and workspace.
- You must be at least 18 and using the Service for business purposes.
- We may suspend or terminate accounts that breach these Terms or pose a security or legal risk.
4. Acceptable use
You must not:
- Use the Service unlawfully, including in breach of data protection, e-privacy, marketing, or anti-spam laws.
- Use researched contact data for harassment, fraud, or deceptive practices.
- Attempt to probe, disrupt, or bypass security or access controls.
- Reverse engineer the Service except where mandatory law allows.
- Resell or provide the Service to third parties without our written consent.
- Upload unlawful content or content you do not have rights to use.
You are solely responsible for your outreach and for ensuring you have a lawful basis to contact individuals. We do not guarantee that any inferred email, phone number, or other contact detail is accurate or that contacting that person is lawful in your situation.
5. Your content and lead data
You retain ownership of content you submit to the Service. You grant us a licence to host, process, and display that content solely to provide and secure the Service.
For lead, contact, and similar workspace data processed for your business development, you are the controller and we act as your processor, except where we process data for our own purposes described in the Privacy Policy. You warrant that your instructions and use of such data comply with applicable law.
6. Our intellectual property
We and our licensors own the Service, including software, branding, and documentation. These Terms do not transfer ownership to you. You may not copy or use our branding except as needed to use the Service.
7. Availability and changes
We aim for reasonable availability but do not guarantee uninterrupted or error-free Service. We may modify, suspend, or discontinue features with or without notice where reasonable.
8. Disclaimers
The Service and all outputs are provided “as is” and “as available” to the fullest extent permitted by Irish law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant the accuracy, completeness, or usefulness of any lead, contact, evidence, or draft.
9. Liability
Nothing in these Terms excludes or limits liability that cannot be excluded under Irish law (including for death or personal injury caused by negligence, or for fraud).
Subject to that, we are not liable for indirect, incidental, special, consequential, or lost-profit damages, or for loss of data, goodwill, or business opportunity, arising from the Service or these Terms.
Our total aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of (a) fees you paid us for the Service in the 12 months before the claim, or (b) €100.
10. Indemnity
You will indemnify us against claims, losses, and costs arising from your use of the Service, your content, or your outreach, except to the extent caused by our wilful misconduct.
11. Termination
You may stop using the Service at any time. We may suspend or end access if you breach these Terms or if we discontinue the Service. On termination, your right to use the Service ends. Provisions that by nature should survive (including intellectual property, disclaimers, liability, and governing law) will survive.
12. Governing law
These Terms are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction, without prejudice to mandatory consumer protections that may apply if you qualify as a consumer (the Service is intended for business use).
13. Changes to these Terms
We may update these Terms from time to time. The effective date will change when we do. If you continue using the Service after changes take effect, you accept the updated Terms. If you do not agree, stop using the Service.
